1. Introduction

 

These Terms and Conditions ("Terms") govern your use of the services provided by HR Bespoke, a HR consultancy business operated by Emma Beech ("we," "us," or "our"). By engaging our services, you agree to be bound by these Terms.

3. Services

 

We provide HR consultancy services including but not limited to: Retained HR support packages HR project support. Pay-as-you-go HR adviceHR documentation development. Employment law guidancePerformance management frameworks, Training and development support

 

4. Service Agreements

 

4.1 Retainer Services

 

Retainer agreements commence following signed agreement and payment of first month's fees Services are provided on a monthly basis with agreed hours allocationUnused hours do not roll over to subsequent months unless specifically agreed. After an initial 3-month commitment period, agreements continue on a rolling 30-day basisEither party may terminate with 30 days' written notice

 

4.2 Project Services

 

Project scope, timelines, and fees are agreed in writing before commencementPayment terms will be specified in individual project agreementsChanges to project scope may result in additional charges

 

4.3 Pay-as-You-Go Services

 

Charged at agreed hourly rates, Minimum billing increment of 30 minutesInvoiced monthly for services provided in the preceding month

 

5. Fees and Payment

 

5.1 Retainer Packages

 

Monthly fees are payable in advance by standing order or bank transferFirst payment due upon signing agreementSubsequent payments due on the same date each month

 

5.2 Additional Services

 

Additional services outside retainer hours charged at standard ratesProject work invoiced as per individual agreements Pay-as-you-go services invoiced monthly

 

5.3 Payment Terms

 

All invoices payable within 30 days of invoice date. Late payment may incur interest charges at 8% above Bank of England base rate continued non-payment may result in suspension of services

 

6. Cancellation and Refunds

 

6.1 Retainer Services

 

Following initial 3-month period, either party may cancel with 30 days' written noticeNo refunds for unused hours within monthly allocation. Monthly fees are non-refundable once service period has commenced

 

6.2 Project Services

 

Cancellation terms specified in individual project agreements Work completed to date will be charged pro-rata

 

7. Client Responsibilities

 

You agree to:

Provide accurate and complete information necessary for service deliveryRespond promptly to requests for information or clarificationImplement advice and recommendations appropriately. Maintain confidentiality of any proprietary methods or approaches shared

 

8. Professional Standards

 

8.1 Regulatory Compliance

 

All services provided in accordance with CIPD professional standards. We maintain appropriate professional indemnity insuranceWe are committed to continuing professional development

 

8.2 Advice Limitations

 

All advice provided is based on information supplied by the clientAdvice reflects our professional opinion based on current legislation and best practice. Implementation of advice remains the client's responsibility. We cannot guarantee specific outcomes from following our advice

 

9. Confidentiality

 

9.1 Client Confidentiality

 

We maintain strict confidentiality regarding all client information will not be disclosed to third parties without consent. Confidentiality continues after termination of services

 

9.2 Data Protection

 

We process personal data in accordance with UK GDPR requirements. Our Privacy Policy provides full details of data processing practicesYou have rights regarding your personal data as outlined in our Privacy Policy

 

10. Intellectual Property

 

10.1 Client Materials

 

You retain ownership of all materials and information provided to us. We may retain copies for record-keeping purposes

 

10.2 Our Materials

 

Templates, methodologies, and proprietary approaches remain our intellectual property. You receive licence to use materials provided specifically for your business. Materials may not be shared with third parties without permission

 

11. Limitation of Liability

 

11.1 Professional Indemnity

 

Our liability is limited to the amount covered by our professional indemnity insurance. We maintain minimum coverage of £1,000,000 per claim

 

11.2 Exclusions

 

We exclude liability for indirect, consequential, or special damagesWe are not liable for losses arising from failure to implement adviceWe are not liable for decisions made contrary to our recommendations

 

12. Force Majeure

 

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.

 

13. Governing Law

 

These Terms are governed by English law and subject to the exclusive jurisdiction of the English courts.

 

14. Dispute Resolution

 

14.1 Initial ResolutionWe encourage early discussion of any concerns or disputes. Many issues can be resolved through open communication

 

14.2 Formal Disputes Formal disputes will be handled in accordance with CIPD guidelines. We are committed to fair and professional resolution of any issues

 

15. Changes to Terms

 

We reserve the right to update these Terms periodically. Significant changes will be communicated with reasonable notice. Continued use of our services constitutes acceptance of updated Terms.

 

16. Severability

 

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

 

17. Entire Agreement

 

These Terms, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between us and supersede all prior negotiations, representations, or agreements.18.
